Photographer Agreement

SPORTERRIFIC – PHOTOGRAPHER MARKETPLACE LICENSE AGREEMENT
Version 1.0 | High Five Shots Inc., operating as SPORTERRIFIC
Governed under the laws of Nova Scotia, Canada

1. COPYRIGHT OWNERSHIP
You (the Photographer) retain full copyright ownership of all content you upload to the SPORTERRIFIC platform. No copyright ownership is transferred to SPORTERRIFIC at any time.

2. MARKETPLACE LICENSE GRANT
By uploading content, you grant SPORTERRIFIC a worldwide, non-exclusive license to:
• Host and store your content on our servers
• Display your content publicly on the platform
• Generate watermarked previews and thumbnails
• Index your content for search and discovery
• Perform Smart Detection analysis (athlete, equipment, sponsor, and product recognition) to enhance discoverability — no copyright is transferred by this process
• Market and promote your content across SPORTERRIFIC channels
• Process sales transactions and collect payments on your behalf
• Deliver purchased files to buyers under the applicable buyer license

3. REVENUE SHARE
SPORTERRIFIC will remit 70% of each net sale to you. The remaining 30% covers platform fees, payment processing, and operations. When Athlete Revenue Sharing is enabled on a specific photo, the split adjusts to Photographer 70% / SPORTERRIFIC 20% / Athlete 10% (or as configured by platform administrators).

4. BUYER LICENSES
You authorize SPORTERRIFIC to grant buyers one of the following licenses on your behalf:
• Personal License – non-commercial personal use only
• Commercial License – business, advertising, and promotional use; no resale
• Exclusive License – exclusive use for a defined period; image removed from public sale
• Media License – editorial use by newspapers, magazines, and blogs

5. EXCLUSIVE LICENSE POLICY
If a buyer purchases an Exclusive License, you agree that the image will be removed from the public marketplace for the exclusivity period. Previously sold non-exclusive licenses remain valid.

6. CONTENT STORAGE
• Unsold content: stored for a minimum of 30 days; extended storage available under paid plans
• Purchased content: stored permanently in the purchaser's account
• You may delete your content at any time, subject to existing fulfilled licenses

7. MODEL & PROPERTY RELEASES
You represent that you hold all necessary model releases, property releases, and event permissions for the content you upload. You may upload release documents through your dashboard to attach them to specific images.

8. SMART DETECTION
You grant SPORTERRIFIC permission to run automated visual analysis on your content for the purpose of athlete, equipment, sponsor, and product recognition. This analysis improves discoverability and does not transfer any copyright.

9. DISPUTE RESOLUTION
SPORTERRIFIC operates a dispute workflow for copyright infringement, unauthorized uploads, misidentification, and commercial misuse claims. Content may be suspended during an investigation.

10. GOVERNING LAW
This Agreement is governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein.
